SkilLab Terms of Use

These Terms of Use govern your access to and use of the SkilLab platform. Please read them carefully before using our services.

1. Introduction and Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you and SkilLab – [Skill Lab Services] (“SkilLab”, “we”, “our”, “us”) – governing your access to and use of the SkilLab website, web applications and online services, including www.skillab.in and app.skillab.in (collectively, the “Platform”).

By accessing, registering on, or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

If you are using the Platform on behalf of an organization (such as an employer, recruitment agency, or company), you represent and warrant that you are authorized to bind that organization to these Terms, and “you” shall refer to that organization.

2. Definitions

• “Platform” – the SkilLab website, applications and services described above.

• “User” – any person or entity that accesses or uses the Platform, including Candidates, Employers, Recruiters and Agencies.

• “Candidate” – an individual who registers on the Platform to search for jobs, submit a resume/CV, or be considered for employment opportunities.

• “Employer / Recruiter / Agency” – an organization or individual that uses the Platform to post opportunities, search for, screen, or engage candidates, or otherwise access recruitment services (collectively, “Recruiter Users”).

• “User Content” – any information, data, resume, job posting, message, feedback or other material submitted by a User to the Platform.

• “AI Features” – the AI-powered functionality of the Platform, including resume scoring and enhancement, candidate profile scoring, skills-to-job-description assessment, call sentiment analysis and conversational assistance.

3. Eligibility

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction if higher, and legally capable of entering into a binding contract, to register or use the Platform. By using the Platform you represent and warrant that you meet these requirements. The Platform is not intended for minors, and we do not knowingly permit their registration.

4. Account Registration and Security

To access certain features, you must register and create an account with accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach. SkilLab is not liable for any loss arising from your failure to safeguard your credentials. We reserve the right to refuse registration, or suspend or terminate accounts, at our discretion in accordance with these Terms.

5. User Categories and Responsibilities

The Platform serves different categories of Users, and certain obligations apply depending on your role.

5.1 Candidates

• You are solely responsible for the accuracy, completeness and lawfulness of the resume, profile information and other User Content you submit.

• You must not misrepresent your identity, qualifications, experience or any other information.

• By submitting your resume or applying to opportunities, you consent to your information being shared with relevant Recruiter Users, as further described in the Privacy Policy.

• Use of the Platform does not guarantee employment, interviews, responses, or any particular outcome.

5.2 Employers, Recruiters and Agencies

• You may access candidate information only for legitimate, bona fide recruitment purposes, and must handle such information in compliance with applicable data protection laws.

• You must not use candidate data for unsolicited marketing, resale, profiling unrelated to recruitment, or any purpose not permitted by these Terms or the Privacy Policy.

• You are responsible for the accuracy and legality of job postings and communications, which must not be false, misleading, discriminatory, or in violation of applicable law.

• You must not charge candidates any fee for consideration of employment, nor engage in any fraudulent, exploitative or unlawful hiring practice.

• You are responsible for your own hiring decisions and for compliance with all applicable labour, employment and anti-discrimination laws.

6. Subscription, Fees and Payment

Certain features of the Platform are offered to Recruiter Users on a paid subscription or transactional basis. Where fees apply:

• Fees, billing cycles and the scope of each plan are as described at the point of purchase or in a separate order form or agreement.

• Unless stated otherwise, subscriptions may renew automatically at the end of each billing cycle, and you authorize us to charge the applicable fees to your chosen payment method until cancelled.

• All fees are exclusive of applicable taxes (including GST), which will be charged additionally as required by law.

• Except as required by applicable law or expressly stated, fees paid are non-refundable.

• We may revise fees or plan features on prospective notice; continued use after such changes take effect constitutes acceptance.

Payments are processed through third-party payment providers. SkilLab does not store your card or banking details, and is not responsible for the acts or omissions of payment providers.

7. Acceptable Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable laws and regulations.

8. Prohibited Conduct

You must not, and must not permit any third party to:

• Post, transmit or store any content that is unlawful, false, misleading, defamatory, obscene, discriminatory, harassing, or that infringes any third party’s rights.

• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

• Upload viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to the Platform or its data.

• Scrape, harvest, data-mine, reverse engineer, or use automated means to access or extract data from the Platform without our written permission.

• Attempt to gain unauthorized access to any account, system or network associated with the Platform.

• Use the Platform to send spam, chain communications, or unsolicited commercial messages.

• Interfere with or disrupt the integrity, security or performance of the Platform.

• Use the Platform for any fraudulent, exploitative, or otherwise unlawful purpose.

Violation of this Section may result in immediate suspension or termination and may be reported to relevant authorities.

9. AI-Powered Features

The Platform includes AI Features that generate scores, recommendations, assessments and insights to assist recruitment workflows. You acknowledge and agree that:

• AI outputs are advisory and informational in nature only, and are generated using probabilistic models that may contain errors, omissions or inaccuracies.

• AI outputs do not constitute a hiring, rejection, or employment decision, and must not be relied upon as the sole basis for any such decision. Human judgment and oversight remain the responsibility of the User.

• SkilLab makes no representation or warranty regarding the accuracy, completeness, fairness or suitability of any AI output, and shall not be liable for any decision made, or action taken, in reliance on AI Features.

• Recruiter Users remain solely responsible for ensuring that their use of AI outputs complies with applicable anti-discrimination, employment and data protection laws.

10. User Content and Licence

You retain ownership of the User Content you submit. By submitting User Content, you grant SkilLab a non-exclusive, worldwide, royalty-free licence to host, store, use, reproduce, process and display such content solely as necessary to operate and provide the Platform and its services, and as described in the Privacy Policy. You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any law or third-party right. SkilLab may remove or disable access to any User Content that violates these Terms.

11. Intellectual Property

The Platform, including its software, design, text, graphics, logos, trademarks, features and all related intellectual property, is owned by or licensed to SkilLab and is protected by applicable laws. Except for the limited right to use the Platform granted under these Terms, no right, title or interest in the Platform is transferred to you. You must not copy, modify, distribute, sell, lease or create derivative works from any part of the Platform without our prior written consent.

12. Third-Party Services and Links

The Platform may integrate with or contain links to third-party services, websites or content that are not owned or controlled by SkilLab (including AI, messaging, payment and analytics providers). Your use of such third-party services is governed by their own terms and privacy policies. SkilLab is not responsible or liable for any third-party services, and their inclusion does not imply endorsement.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, process and protect your personal data. By using the Platform, you consent to such processing and confirm that any data you provide is accurate.

14. Intermediary Status and Content Responsibility

SkilLab operates as an “intermediary” under the Information Technology Act, 2000 and the rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. SkilLab facilitates connections between Candidates and Recruiter Users and hosts User Content on their behalf; it does not originate, endorse or guarantee such content.

SkilLab does not verify, and is not responsible for, the accuracy, legality or authenticity of User Content, job postings, resumes, or communications between Users. Users interact with one another at their own risk, and SkilLab is not a party to any employment relationship, contract or dealing arising between them. Any grievance regarding User Content may be reported to our Grievance Officer (Section 22), and we will act in accordance with applicable law.

15. Suspension and Termination

We may suspend, restrict or terminate your access to the Platform, in whole or in part, with or without notice, if we reasonably believe that you have violated these Terms, applicable law, or the rights of others, or to protect the security or integrity of the Platform. You may stop using the Platform or delete your account at any time using the settings available in your account. Termination does not relieve you of any obligations accrued prior to termination, including payment obligations. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnity) shall survive.

16. Disclaimers and No Warranty

The Platform and all services and content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. SkilLab does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that it will produce any particular recruitment or employment outcome. To the maximum extent permitted by law, all such warranties are disclaimed.

17. Limitation of Liability

To the maximum extent permitted by applicable law, SkilLab and its affiliates, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill, employment opportunity or business, arising out of or in connection with your use of (or inability to use) the Platform, whether based in contract, tort or otherwise, even if advised of the possibility of such damages.

To the extent SkilLab is found liable notwithstanding the above, its total aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to SkilLab in the twelve (12) months preceding the event giving rise to the claim, or [Insert amount, e.g., INR 10,000] where no fees have been paid.

18. Indemnification

You agree to indemnify, defend and hold harmless SkilLab and its affiliates, directors, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any rights of a third party.

19. Confidentiality

Recruiter Users may receive access to candidate information and other non-public information through the Platform. Such information must be kept confidential, used only for permitted recruitment purposes, and protected with reasonable safeguards. This obligation survives termination of these Terms.

20. Changes to these Terms

We may update, change or modify these Terms at any time. Material changes will be notified through the Platform or by other reasonable means, and will take effect from the date of publication. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.

21. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration provision below, the courts at Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

Any dispute, controversy or claim arising out of or relating to these Terms may, at SkilLab’s option, be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by SkilLab, with the seat and venue of arbitration at Maharashtra, India, and the proceedings conducted in English.

We will acknowledge and endeavour to resolve grievances within the timelines prescribed under applicable law.

23. Miscellaneous

• Entire Agreement – these Terms, together with the Privacy Policy and any order form or plan-specific terms, constitute the entire agreement between you and SkilLab regarding the Platform.

• Severability – if any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

• Waiver – our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

• Assignment – you may not assign or transfer these Terms without our prior written consent; SkilLab may assign these Terms in connection with a merger, acquisition or sale of assets.

• Force Majeure – SkilLab shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.

• Notices – notices to you may be provided through the Platform or to the contact details in your account; notices to SkilLab must be sent to the address in Section 22.
