SkilLab Terms of Use

These Terms of Use govern your access to and use of the SkilLab platform. Please read them carefully before using our services.
1. Introduction and Acceptance of Terms
These Terms of Use (“Terms”) constitute a legally binding agreement between you and SkilLab – [Skill Lab Services] (“SkilLab”, “we”, “our”, “us”) – governing your access to and use of the SkilLab website, web applications and online services, including www.skillab.in and app.skillab.in (collectively, the “Platform”).
By accessing, registering on, or using the Platform, you acknowledge that you have read, understood and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.
If you are using the Platform on behalf of an organization (such as an employer, recruitment agency, or company), you represent and warrant that you are authorized to bind that organization to these Terms, and “you” shall refer to that organization.

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction if higher, and legally capable of entering into a binding contract, to register or use the Platform. By using the Platform you represent and warrant that you meet these requirements. The Platform is not intended for minors, and we do not knowingly permit their registration.
4. Account Registration and Security
To access certain features, you must register and create an account with accurate, current and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach. SkilLab is not liable for any loss arising from your failure to safeguard your credentials. We reserve the right to refuse registration, or suspend or terminate accounts, at our discretion in accordance with these Terms.

The Platform serves different categories of Users, and certain obligations apply depending on your role.

Certain features of the Platform are offered to Recruiter Users on a paid subscription or transactional basis. Where fees apply:
Payments are processed through third-party payment providers. SkilLab does not store your card or banking details, and is not responsible for the acts or omissions of payment providers.
7. Acceptable Use of the Platform
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use complies with all applicable laws and regulations.

The Platform includes AI Features that generate scores, recommendations, assessments and insights to assist recruitment workflows. You acknowledge and agree that:
10. User Content and Licence
You retain ownership of the User Content you submit. By submitting User Content, you grant SkilLab a non-exclusive, worldwide, royalty-free licence to host, store, use, reproduce, process and display such content solely as necessary to operate and provide the Platform and its services, and as described in the Privacy Policy. You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any law or third-party right. SkilLab may remove or disable access to any User Content that violates these Terms.
11. Intellectual Property
The Platform, including its software, design, text, graphics, logos, trademarks, features and all related intellectual property, is owned by or licensed to SkilLab and is protected by applicable laws. Except for the limited right to use the Platform granted under these Terms, no right, title or interest in the Platform is transferred to you. You must not copy, modify, distribute, sell, lease or create derivative works from any part of the Platform without our prior written consent.
12. Third-Party Services and Links
The Platform may integrate with or contain links to third-party services, websites or content that are not owned or controlled by SkilLab (including AI, messaging, payment and analytics providers). Your use of such third-party services is governed by their own terms and privacy policies. SkilLab is not responsible or liable for any third-party services, and their inclusion does not imply endorsement.
13. Privacy
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, process and protect your personal data. By using the Platform, you consent to such processing and confirm that any data you provide is accurate.
14. Intermediary Status and Content Responsibility
SkilLab operates as an “intermediary” under the Information Technology Act, 2000 and the rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. SkilLab facilitates connections between Candidates and Recruiter Users and hosts User Content on their behalf; it does not originate, endorse or guarantee such content.
SkilLab does not verify, and is not responsible for, the accuracy, legality or authenticity of User Content, job postings, resumes, or communications between Users. Users interact with one another at their own risk, and SkilLab is not a party to any employment relationship, contract or dealing arising between them. Any grievance regarding User Content may be reported to our Grievance Officer (Section 22), and we will act in accordance with applicable law.
15. Suspension and Termination
We may suspend, restrict or terminate your access to the Platform, in whole or in part, with or without notice, if we reasonably believe that you have violated these Terms, applicable law, or the rights of others, or to protect the security or integrity of the Platform. You may stop using the Platform or delete your account at any time using the settings available in your account. Termination does not relieve you of any obligations accrued prior to termination, including payment obligations. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability and indemnity) shall survive.
16. Disclaimers and No Warranty
The Platform and all services and content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement. SkilLab does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components, or that it will produce any particular recruitment or employment outcome. To the maximum extent permitted by law, all such warranties are disclaimed.
17. Limitation of Liability
To the maximum extent permitted by applicable law, SkilLab and its affiliates, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill, employment opportunity or business, arising out of or in connection with your use of (or inability to use) the Platform, whether based in contract, tort or otherwise, even if advised of the possibility of such damages.
To the extent SkilLab is found liable notwithstanding the above, its total aggregate liability arising out of or relating to these Terms or the Platform shall not exceed the total fees paid by you to SkilLab in the twelve (12) months preceding the event giving rise to the claim, or [Insert amount, e.g., INR 10,000] where no fees have been paid.
18. Indemnification
You agree to indemnify, defend and hold harmless SkilLab and its affiliates, directors, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any rights of a third party.
19. Confidentiality
Recruiter Users may receive access to candidate information and other non-public information through the Platform. Such information must be kept confidential, used only for permitted recruitment purposes, and protected with reasonable safeguards. This obligation survives termination of these Terms.
20. Changes to these Terms
We may update, change or modify these Terms at any time. Material changes will be notified through the Platform or by other reasonable means, and will take effect from the date of publication. Your continued use of the Platform after such changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Platform.
21. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration provision below, the courts at Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
Any dispute, controversy or claim arising out of or relating to these Terms may, at SkilLab’s option, be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by SkilLab, with the seat and venue of arbitration at Maharashtra, India, and the proceedings conducted in English.
